Terms of Service

Last updated: March 2026. TripleS Nexus ("Nexus", "we", "us"). Please read these terms carefully before using the Service.

1. Acceptance of Terms

By accessing, browsing, or using the TripleS Nexus platform (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and to comply with all applicable laws and regulations. If you do not agree with these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you (or the organization you represent) and TripleS Nexus. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

TripleS Nexus is an operations and command-center platform designed for creative agencies, legal practices, professional teams, and organizations across various industries. The Service provides:

  • Project and case management tools
  • Task and workflow management
  • Time tracking and reporting
  • Document and asset management
  • Team communication (Nexus Comms)
  • HR and personnel management
  • Financial tracking and billing
  • Client portals and sharing
  • AI-powered Creative Room (AI creative workspace using Google Gemini)
  • API access and integrations (on applicable plans)

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We do not guarantee that the Service will be available at all times or that it will be error-free.

3. User Accounts and Registration

To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring that your account information remains accurate and up-to-date

You must be at least 16 years old (or the age of majority in your jurisdiction) to use the Service. By creating an account, you represent and warrant that you meet this age requirement.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity. You may not create multiple accounts to circumvent plan limits or restrictions.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload, transmit, or store malicious code, viruses, or harmful software
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use the Service to spam, phish, or engage in fraudulent activities
  • Scrape, crawl, or use automated tools to access the Service without authorization
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell, sublicense, or redistribute the Service without our written permission
  • Use the Service to store or transmit illegal, harmful, or offensive content
  • Impersonate any person or entity or misrepresent your affiliation
  • Circumvent or attempt to circumvent any security measures or plan limitations

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, without refund, and may subject you to legal action.

5. Intellectual Property

Your Content: You retain all ownership rights to content you upload, create, or store in the Service ("Your Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display Your Content solely for the purpose of providing and improving the Service.

Our Content: The Service, including its design, features, functionality, and all intellectual property rights therein, are owned by TripleS Nexus or our licensors. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

Trademarks: "TripleS Nexus," "NexusOS," and related logos are trademarks of TripleS Nexus. You may not use these trademarks without our prior written consent.

6. Payment and Billing

Subscription Plans: The Service is offered on a subscription basis. Pricing for each plan is displayed on our pricing page and may vary based on your selected billing cycle (monthly or annual). Annual plans are billed at a discounted rate (20% off monthly pricing).

Payment Processing: All payments are processed securely through Paddle, who acts as the Merchant of Record for all TripleS Nexus transactions. This means Paddle is the legal seller of record and is responsible for calculating, collecting, and remitting all applicable taxes (VAT, GST, sales tax, etc.) on your behalf. By subscribing, you are entering into a purchase agreement with Paddle and agree to Paddle's terms of service and privacy policy. We do not store your full payment card details.

Billing:

  • Subscriptions automatically renew at the end of each billing period unless cancelled
  • You authorize us to charge your payment method for all fees associated with your subscription
  • Fees are charged in advance for the billing period
  • All fees are non-refundable except as stated in our Refund Policy
  • Taxes (VAT, sales tax, etc.) are calculated and charged at checkout based on your location

Price Changes: We reserve the right to modify our pricing at any time. We will provide at least 30 days' notice of any price increases. If you do not agree to the new pricing, you may cancel your subscription before the change takes effect.

Non-Payment: If payment fails or your payment method is declined, we may suspend or terminate your access to the Service after a grace period. You remain responsible for all charges incurred prior to termination.

7. Free Trial

We offer a 7-day free trial for new users on paid plans. During the trial period:

  • You have full access to the features included in your selected plan
  • No payment is required to start the trial
  • You may cancel at any time during the trial without being charged
  • If you do not cancel before the trial ends, your subscription will begin and you will be charged
  • Only one free trial per user or organization

We reserve the right to modify or discontinue the free trial offer at any time. Free trials are subject to these Terms and our Acceptable Use Policy.

8. Cancellation and Refunds

Cancellation: You may cancel your subscription at any time from your account settings or by contacting us at info@triplesnexus.com. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of the period you have already paid for.

30-Day Money-Back Guarantee: We offer a 30-day money-back guarantee for new subscriptions. If you are not satisfied with the Service within 30 days of your initial subscription, you may request a full refund. Refund requests must be submitted within 30 days of your initial payment. See our Refund Policy for complete details.

No Refunds After 30 Days: After the 30-day guarantee period, subscription fees are non-refundable. We may make exceptions at our sole discretion for technical failures or other extenuating circumstances. Partial refunds are not provided for unused portions of your subscription period.

9. Security & Data Isolation

Each organization's data is completely isolated. We employ intrusion detection, audit logging, rate limiting, and real-time security monitoring. Any unauthorized access attempt is logged and investigated.

  • Organization-Level Isolation: Your organization's data is stored and processed separately from all other organizations, with strict access controls enforced at every layer
  • Intrusion Detection: We employ real-time intrusion detection systems that monitor for suspicious activity and unauthorized access attempts
  • Audit Logging: All access to data, configuration changes, and security events are logged with full audit trails
  • Rate Limiting: API endpoints and user-facing services are protected by rate limiting to prevent abuse and ensure fair usage
  • Real-Time Monitoring: Our security team monitors system health and security alerts continuously to respond to threats promptly

We are committed to maintaining the highest security standards. If you discover a security vulnerability, please report it immediately to support@triplesnexus.com.

10. SLA Commitment

We target 99.9% uptime for all paid plans. Studio Pro and Enterprise plans include a formal Service Level Agreement (SLA) with credits for downtime exceeding the target.

  • Uptime Target: 99.9% monthly uptime for all paid plans
  • SLA Credits (Studio Pro & Enterprise): If monthly uptime falls below 99.9%, eligible accounts receive service credits proportional to the downtime experienced
  • Scheduled Maintenance: Planned maintenance windows are communicated at least 48 hours in advance and do not count toward downtime calculations
  • Incident Communication: In the event of unplanned downtime, we provide real-time status updates and post-incident reports

11. Data Ownership

You own all data you upload to TripleS Nexus. We do not claim ownership of Your Content.

  • Your Data, Your Property: All content, files, documents, and data you create or upload remains your property at all times
  • Data Export: You can export all your data at any time through the platform's built-in export tools or via the API
  • Account Deletion: Upon account deletion, all your data is permanently removed within 30 days. This includes all files, projects, messages, and personal information
  • No Data Mining: We do not sell, share, or use your data for advertising or profiling purposes

12. API Usage

API access is governed by rate limits based on your plan. Abuse of API endpoints may result in temporary or permanent suspension.

  • Rate Limits: Each plan includes a specific API call allocation. Exceeding your limit may result in throttled requests until your next billing cycle
  • Authentication: All API requests must be authenticated using valid API keys associated with your account
  • Fair Use: API access is intended for legitimate integrations and automations. Automated scraping, excessive polling, or other abusive patterns are prohibited
  • Suspension: We reserve the right to temporarily or permanently suspend API access for accounts that violate these terms or engage in abusive behavior

13. The Sparks Economy (AI Generation Credits)

Certain features within Nexus OS β€” including the StoryFrame Studio, Creative Room Forge, and other AI-powered generation tools β€” are powered by a proprietary credit system called Sparks.

What Are Sparks?

  • Sparks are non-monetary credits used to power AI generation tasks inside the platform. They have no cash value, are non-refundable, and cannot be transferred between accounts or organizations.
  • Sparks are not a currency or financial instrument. They cannot be sold, traded, converted to currency, or redeemed for cash under any circumstances.
  • Each subscription plan includes a monthly Sparks allocation. Unused Sparks do not roll over to the next billing period.
  • Additional Sparks may be purchasable as an add-on in applicable plans. Such purchases are subject to our standard Refund Policy.

Sparks Usage

  • The number of Sparks consumed per generation task varies by task type (e.g., image generation, text generation, storyboard creation) and is displayed in the relevant feature interface before you confirm.
  • We reserve the right to adjust the Sparks cost of any feature. We will provide notice of material changes via in-app notifications.
  • Sparks are deducted from your balance at the time of generation, regardless of whether the generated output meets your expectations. We are not responsible for AI-generated outputs that are inaccurate, unsuitable, or do not meet your intended use case.

If you believe Sparks were incorrectly deducted due to a platform error, contact support@triplesnexus.com with details of the transaction.

14. AI Content Policy and Fair-Use

Nexus OS integrates proprietary AI generation capabilities powered by third-party AI inference infrastructure under enterprise data processing agreements. When you use AI-powered features, you agree to the following policy:

Permitted Use

  • Generating creative assets, storyboards, marketing copy, business documents, and other professional content for lawful business purposes.
  • Using AI-generated content as a starting point that you review, edit, and take responsibility for before using commercially or sharing publicly.

Prohibited Use

  • No illegal content: You may not use AI features to generate content that is illegal in your jurisdiction, including but not limited to content that violates intellectual property rights, privacy rights, or applicable export laws.
  • No explicit or harmful content: You may not use AI features to generate sexually explicit material, content that sexualizes minors, content depicting or promoting violence, hate speech, harassment, or content designed to defraud or deceive.
  • No impersonation: You may not use AI features to generate content designed to impersonate real individuals, organizations, or brands in a misleading or defamatory manner.
  • No disinformation: You may not use AI features to generate and disseminate deliberately false information intended to mislead ("deepfakes," elections misinformation, etc.).
  • No circumvention of safety systems: You may not attempt to "jailbreak," manipulate, or bypass safety filters or content policies built into the AI systems.

Responsibility for AI-Generated Content

You are solely responsible for the prompts you submit and the AI-generated outputs you use, publish, or share. TripleS Nexus does not endorse, verify, or take responsibility for AI-generated content. We will cooperate with lawful requests from authorities regarding content generated on our platform.

Violation of this AI Content Policy may result in immediate suspension or termination of your account without notice or refund.

15. Limitation of Liability

Disclaimer: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

Limitation: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRIPLES NEXUS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

Maximum Liability: OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

14. Indemnification

You agree to indemnify, defend, and hold harmless TripleS Nexus, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) your violation of any applicable laws or regulations.

15. Termination

By You: You may terminate your account at any time by canceling your subscription and deleting your account from your account settings.

By Us: We may suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms or our Acceptable Use Policy
  • You engage in fraudulent, abusive, or illegal activity
  • Your payment fails and remains unpaid after a grace period
  • We are required to do so by law or court order
  • We discontinue the Service (with reasonable notice)

Upon termination, your right to use the Service immediately ceases. We may delete Your Content after a reasonable retention period. Sections of these Terms that by their nature should survive termination will survive, including but not limited to Intellectual Property, Limitation of Liability, and Indemnification.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Kuwait, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Kuwait, except where mandatory consumer protection laws in your jurisdiction require otherwise.

17. Dispute Resolution

Informal Resolution: Before initiating any formal dispute resolution process, you agree to contact us at info@triplesnexus.com to attempt to resolve the dispute informally. We will make good faith efforts to resolve any disputes within 30 days.

Formal Resolution: If informal resolution is unsuccessful, any disputes shall be resolved through binding arbitration or in the courts of Kuwait, as applicable. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

18. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last updated" date at the top of this page
  • For material changes, we will notify you via email or through an in-app notification
  • We will provide at least 30 days' notice for changes that adversely affect your rights

Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you may cancel your subscription and stop using the Service.
